Terms and Conditions

Effective Date: September 28, 2026

These Terms and Conditions (“Terms”) govern your access to and use of the website, applications, software, subscriptions, and related services (collectively, the “Services”) provided by NBSDIGITAL LLC, a Delaware limited liability company (“NBSDIGITAL LLC,” “we,” “us,” or “our”).

These Terms apply to all Services provided by NBSDIGITAL LLC, including Services accessed through applications distributed through Google Play.

If you are a consumer, nothing in these Terms is intended to exclude or limit any right, remedy, warranty, guarantee, conformity right, or other protection that cannot legally be excluded or limited under the laws applicable to you. Where these Terms are more restrictive than such a protection, the protection prevails.

Nature of the Services

NBSDIGITAL LLC is a software company. The Services are bookkeeping software: they record the transactions, prices, rates and balances that you enter and present them back to you as ledgers, slips and reports.

NBSDIGITAL LLC does not buy, sell, broker, store or deliver any goods or materials recorded in the Services; does not act as a dealer, exchange, marketplace, payment service or counterparty to any transaction you record; and does not publish, supply, recommend or update any price, rate or valuation. Any price or rate in the Services is a figure you have entered yourself, and the Services do not connect to any market or price source.

The Services may produce slips, vouchers, quotations, invoices and similar documents from the records you have entered. Such documents are generated solely from your own entries. NBSDIGITAL LLC does not connect the Services to any tax authority, e-invoicing or fiscal reporting system, does not calculate, collect, report or file any tax, and makes no representation that a document produced by the Services satisfies the invoicing, accounting or tax requirements of any jurisdiction. You are solely responsible for determining whether, and how, such documents may be used in your business.

Nothing in the Services constitutes financial, investment, tax, legal or trading advice, and the Services are not a regulated financial service in any jurisdiction.

1. Acceptance of Terms

By accessing or using our website or Services, creating an account, or purchasing a subscription, you agree to be bound by these Terms and our Privacy Policy, which forms part of these Terms.

If you do not agree with these Terms, you must not use the Services.

If you are under the age required to enter into a binding contract in your jurisdiction, you may use the Services only with the involvement and consent of a parent or legal guardian where required by applicable law.

2. Accounts

You may be required to create an account to use certain features of the Services.

You are responsible for providing accurate and up-to-date information and for maintaining the security of your account credentials.

You are responsible for activity occurring through your account, except to the extent that such activity results from circumstances beyond your reasonable control or from our failure to maintain appropriate security measures.

You must promptly notify us of any unauthorized access to or use of your account.

3. Subscriptions and Payments

Certain features of the Services may require a paid subscription. Subscription prices, billing periods, renewal terms, applicable introductory offers, and cancellation options will be presented to you before purchase.

Where a subscription or purchase is made through Google Play’s billing system, Google Play provides the billing, payment, distribution, and subscription-management infrastructure applicable to that transaction. The identity of the seller or merchant of record, and responsibility for taxes or other transaction-related matters, may vary depending on the transaction, jurisdiction, and applicable law.

3.1 Google Play Purchases

Purchases made through Google Play are subject to the applicable Google Play terms, policies, and procedures, as well as these Terms and applicable law.

Google Play may process payments, manage subscription transactions, process refunds or chargebacks, and communicate transaction or subscription-status information to us. Section 8 describes the transaction information we do and do not receive from Google Play.

3.2 Subscription Status and Verification

A subscription purchased through Google Play may pass through different states, including pending, active, canceled, on hold, expired, refunded, revoked, or other states defined by Google Play.

We verify purchases and subscription status using information provided by Google Play and Google’s applicable developer services, both when Google Play notifies us of a change and periodically on our own initiative, and we maintain your account entitlement on that basis.

Because Google Play may change the status of a transaction after the original purchase, your access to subscription features may change accordingly.

3.3 Renewal and Cancellation

Unless otherwise stated at the time of purchase or required by applicable law, subscriptions automatically renew at the end of each applicable billing period until canceled.

You may cancel a subscription purchased through Google Play using the subscription-management or cancellation options provided by Google Play. We will provide any cancellation method required by Google Play or applicable law.

Cancellation stops the next renewal. It does not end the period you have already paid for: your access to paid subscription features continues until the end of that period, and the subscription then ends. We do not withdraw access to paid features before the end of a period you have paid for because you have cancelled.

Cancellation does not necessarily entitle you to a refund for the unused portion of a billing period, except where required by applicable law or otherwise provided by Google Play or NBSDIGITAL LLC.

3.4 Refunds

Refund requests for purchases made through Google Play may be submitted through the applicable Google Play refund process or, where appropriate, directly to NBSDIGITAL LLC.

NBSDIGITAL LLC may process full or partial refunds through Google Play where permitted or required by Google Play’s policies or applicable law. Google Play may also independently issue refunds or otherwise adjust transactions.

Where a purchase or subscription is refunded or otherwise determined by Google Play to be no longer valid, we may revoke the corresponding entitlement.

3.5 Failed Payments and Account Hold

If a payment fails, Google Play may place a subscription into a grace period, account hold, or another payment-recovery state in accordance with its applicable policies.

During such a period, access to paid features may be affected depending on the current subscription status reported by Google Play.

If the subscription is subsequently recovered, renewed, or otherwise restored to an active state, access may be restored in accordance with the applicable subscription status. If the subscription expires, is revoked, or otherwise becomes inactive, access to paid features may be removed.

3.6 Chargebacks and Revocations

A purchase may be charged back, revoked, or otherwise reversed by Google Play, a financial institution, or another authorized party.

Where Google Play provides information indicating that a transaction has been charged back or otherwise reversed, we may update our records and suspend or revoke access associated with that transaction.

3.7 Service Not Received

If you believe that you have not received the Services or subscription benefits for which you paid, please contact us.

We will investigate the matter using the information reasonably available to us and, where appropriate, work with you and/or Google Play to resolve it in accordance with applicable law and applicable policies.

3.8 Price Changes

We may change subscription prices from time to time.

Price changes will be implemented in accordance with Google Play’s applicable requirements and applicable law. Where Google Play or applicable law requires advance notice, user consent, or another procedure before a price increase takes effect, that procedure will apply.

4. Android Application and Google Play Distribution

Our Android application may be distributed through Google Play. Its availability is subject to Google Play’s review, approval, distribution, technical requirements, policies, and ongoing decisions.

We do not guarantee that Google Play will approve, publish, continuously distribute, or maintain the application on its platform. Google Play may suspend, restrict, remove, or otherwise affect the availability of an application or its billing functionality.

If the application or its billing functionality becomes unavailable through Google Play, our ability to provide certain Services, accept new purchases, process renewals, or maintain access through the application may be affected. We will use reasonable efforts, where commercially and technically practicable, to maintain the Services and address material problems affecting users.

5. Your Data

The records and other data you enter into the Services remain yours, subject to the rights and licenses necessary for us to provide and operate the Services.

We store and process your data to provide and maintain the Services, maintain security, investigate technical or transaction issues, and as otherwise described in our Privacy Policy.

We may retain technical logs, transaction identifiers, subscription information, and entitlement records as reasonably necessary to maintain accurate account and subscription entitlements, investigate errors or disputes, prevent fraud and abuse, respond to requests from Google Play or financial institutions, and comply with applicable law.

You can export a copy of your data from within the application while the applicable export functionality is available. We recommend that you regularly export and maintain your own backup copies of important data.

After a subscription ends, we keep your data for at least 90 days, so that you may resubscribe or export it. We then delete it in our next scheduled deletion run, which we carry out at least once a month. If you delete your account yourself, we do not wait 90 days: we keep your data for at least three weeks, so that an account deleted by mistake can be reopened at your request, and then delete it in our next scheduled deletion run. Deletion is subject to our Privacy Policy, applicable law, and any legal or operational requirement to retain particular records.

We are not a substitute for your own backups and are not required to maintain copies of your data indefinitely.

6. Acceptable Use

You agree not to:

  • misuse the Services;
  • attempt to gain unauthorized access to the Services, another customer’s account, or another customer’s data;
  • interfere with the operation, availability, integrity, or security of the Services;
  • circumvent technical restrictions or access controls;
  • reverse engineer, decompile, or disassemble the software except to the extent such activity cannot legally be restricted;
  • use automated means to abuse, overload, scrape, or interfere with the Services except as expressly authorized;
  • use the Services for unlawful, fraudulent, abusive, or unauthorized purposes; or
  • use the Services in a manner that violates applicable law or the rights of others.

7. Intellectual Property

The Services, including software, website content, trademarks, logos, designs, interfaces, databases, and related materials, are owned by or licensed to NBSDIGITAL LLC and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for their intended purpose.

Except as expressly permitted by us or applicable law, you may not copy, modify, reproduce, distribute, sell, sublicense, publicly display, commercially exploit, or otherwise use any part of the Services or our intellectual property.

Nothing in these Terms transfers ownership of our intellectual property to you.

8. Information Provided by Google Play

When a purchase is made through Google Play, Google may independently collect and process payment, billing, account, identity, and transaction information that is not provided to us.

We receive only the information and transaction data that Google makes available to us for purposes such as verifying purchases, providing the Services, managing subscription entitlements, preventing fraud, providing customer support, and complying with applicable law.

We may therefore not have access to your name, telephone number, payment details, billing address, identity-verification information, or other information held exclusively by Google.

If you contact us regarding a Google Play transaction, we may ask you to provide information necessary to identify the transaction, such as a Google Play order number, purchase identifier, or information associated with your NBSDIGITAL LLC account. Where a matter concerns information, payment processing, or functionality controlled exclusively by Google Play, we may direct you to Google Play or work with Google Play to resolve the matter.

9. Service Availability, Technical Failures, and Third-Party Dependencies

Our Android applications require an active internet connection to record or display transactions and do not operate offline. Additionally, the Services may depend on telecommunications networks, cloud infrastructure, hosting providers, databases, APIs, application stores, payment systems, device hardware, operating systems, and other third-party systems.

We may perform maintenance, updates, security measures, repairs, or other technical operations that temporarily affect availability.

The Services may experience interruptions, delays, synchronization errors, transmission errors, server failures, maintenance periods, outages, or other technical problems. We do not guarantee that the Services will always be available, uninterrupted, timely, secure, or error-free.

To the maximum extent permitted by applicable law, we are not responsible for failures, delays, interruptions, or loss caused by circumstances outside our reasonable control, including failures of internet or telecommunications networks, third-party services, cloud or hosting providers, APIs, application stores, payment systems, devices, operating systems, or other infrastructure not controlled by us.

If a third-party service materially affects the availability or operation of the Services, we may take reasonable steps to restore, replace, modify, or temporarily disable the affected functionality.

10. Accuracy, Data Integrity, and Reliance

The Services may provide information, calculations, records, estimates, recommendations, or other outputs based on information provided by you, information obtained from third parties, automated processes, software calculations, databases, or other sources.

We take reasonable measures to maintain the functionality, integrity, and accuracy of the Services. However, we do not warrant that all information, calculations, results, records, or other outputs will always be complete, accurate, current, or error-free. Information or results may contain errors, omissions, delays, outdated information, calculation errors, synchronization errors, or other inaccuracies.

You are responsible for reviewing information and results provided by the Services and determining whether they are appropriate for your particular circumstances before relying on them or taking action based on them.

Where the Services are used for professional, financial, commercial, operational, regulatory, legal, or other consequential purposes, you should independently verify material information and use appropriate professional judgment. The Services are not intended to replace professional advice or independent verification where such advice or verification is appropriate.

11. Disclaimer

To the maximum extent permitted by applicable law, the Services are provided on an “AS IS” and “AS AVAILABLE” basis.

To the maximum extent permitted by applicable law, we make no warranties or representations, express or implied, regarding the availability, reliability, accuracy, completeness, or suitability of the Services, except for warranties or guarantees that cannot legally be excluded or limited.

12. Limitation of Liability

To the maximum extent permitted by applicable law, NBSDIGITAL LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, goodwill, or other intangible losses, or for loss or corruption of data, arising out of or related to your use of, or inability to use, the Services, regardless of the legal theory of liability, including contract, tort, negligence, or otherwise, even if NBSDIGITAL LLC has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, NBSDIGITAL LLC’s total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amount you paid to NBSDIGITAL LLC for the Services during the subscription period immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits any liability, right, remedy, warranty, guarantee, or consumer protection that cannot legally be excluded or limited under applicable law.

13. Indemnity

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless NBSDIGITAL LLC and its officers, directors, employees, and representatives from third-party claims, damages, losses, liabilities, costs, and reasonable legal fees arising directly from:

  1. your unlawful use of the Services;

  2. your intentional or fraudulent misuse of the Services; or

  3. your material breach of these Terms.

This Section does not require you to indemnify NBSDIGITAL LLC to the extent that the claim, loss, or liability results from NBSDIGITAL LLC’s own breach of these Terms, negligence, willful misconduct, or violation of applicable law.

14. Third-Party Services and Google Play

The Services may rely on or interact with third-party services, including Google Play for application distribution, billing, subscription management, transaction processing, and related functions.

Google Play may independently determine or modify transaction status, subscription status, refunds, chargebacks, payment processing, application availability, and other matters within Google’s systems. Where a third-party service affects the Services, we may rely on information and status data made available by that third party for purposes of operating the Services.

Your use of Google Play is also subject to Google’s applicable terms and policies.

15. Suspension and Termination

We may suspend or terminate your access to the Services if you materially violate these Terms, engage in unlawful, fraudulent, or abusive activity, or where reasonably necessary to protect the Services, our users, our systems, or our legal rights, or where required by law.

Where reasonably practicable and permitted by applicable law, we will provide notice and an opportunity to remedy the violation before terminating or suspending your access.

We may also temporarily suspend particular features where reasonably necessary for security, maintenance, investigation of suspected fraud or abuse, technical failures, or compliance with legal or platform requirements.

You may stop using the Services at any time.

Termination or cancellation does not affect rights or obligations that accrued before termination. Upon termination, your right to use the Services will end, except to the extent continued access is required by applicable law or otherwise provided by us.

The provisions that by their nature should survive termination — including intellectual property, warranty disclaimers, limitations of liability, indemnity, governing law, dispute-resolution provisions, and data-retention provisions — will survive termination to the extent permitted by applicable law.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles, to the extent permitted by applicable law.

Before commencing any formal proceeding, the parties shall first attempt in good faith to resolve any dispute arising out of or relating to these Terms or the Services through negotiation. Either party may initiate negotiation by written notice to the other, and the parties shall attempt to resolve the dispute within thirty (30) days of that notice.

If the dispute is not resolved through negotiation, it shall be brought before the state or federal courts located in the State of Delaware, United States, and you consent to the jurisdiction of those courts, to the extent permitted by applicable law.

If you are a consumer, nothing in this Section deprives you of any mandatory rights or protections provided by the laws that apply to you, including rights relating to jurisdiction, consumer protection, withdrawal, conformity, guarantees, or available remedies.

17. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on our website with a revised Effective Date.

If we make material changes, we will provide notice where required by applicable law.

Unless applicable law requires otherwise, your continued use of the Services after the revised Terms become effective constitutes acceptance of the updated Terms.

Changes will not retroactively limit rights or remedies that you have already acquired under applicable law or under the version of these Terms applicable to your purchase.
